Software License Agreement

1. Grant of License

Subject to the terms and conditions of this License, SaloneNest LLC grants you a non-exclusive, non-transferable, revocable, limited license to access and use the AfricBizLink platform solely for your internal business operations, contingent upon maintaining an active subscription in good standing.

2. Restrictions

You shall NOT:

• Copy, reproduce, distribute, sublicense, sell, or transfer the Software
• Reverse engineer, decompile, disassemble, or attempt to derive the source code
• Modify, adapt, translate, or create derivative works
• Remove or obscure copyright notices or proprietary rights notices
• Use the Software to provide a service bureau or hosting service to third parties
• Resell, white-label, or rebrand the Software under any other name
• Circumvent any security, authentication, or access control mechanisms
• Use the Software beyond your authorized subscription tier without appropriate licensing

3. Intellectual Property

The Software and all intellectual property rights therein — including copyrights, trademarks, trade secrets, patents, and design rights — are and shall remain the exclusive property of SaloneNest LLC. This License does not grant you any rights to the Software other than the limited right of use described above.

The name "AfricBizLink," all associated logos, branding, and visual identity are trademarks of SaloneNest LLC and may not be used without prior written consent.

4. Confidentiality

You acknowledge that the Software, including its features, functionality, design, and documentation, constitutes confidential and proprietary information of SaloneNest LLC. You agree to protect its confidentiality and not disclose any confidential information about the Software to any third party without prior written consent.

5. Subscription Fees

You agree to pay all applicable subscription fees as published for your selected tier. Fees are billed in advance on a recurring basis and are non-refundable except as required by applicable law. SaloneNest LLC reserves the right to adjust fees upon renewal with at least thirty (30) days' prior notice.

6. Data Protection

SaloneNest LLC processes your data in accordance with the AfricBizLink Privacy Policy. We implement industry-standard security measures and shall not access, use, or disclose your business data except as necessary to provide, maintain, and improve the Software, or as required by law. Upon account termination, all your data shall be permanently deleted within thirty (30) days.

7. Warranty Disclaimer

The Software is provided "as is" and "as available." SaloneNest LLC disclaims all warranties, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Software will be error-free or uninterrupted.

8. Limitation of Liability

To the maximum extent permitted by law, in no event shall SaloneNest LLC be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of business, loss of data, or business interruption. The total cumulative liability of SaloneNest LLC shall not exceed the total subscription fees paid in the twelve (12) months preceding the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless SaloneNest LLC, its officers, directors, employees, and affiliates from any claims, damages, losses, liabilities, costs, and expenses (including legal fees) arising from your use or misuse of the Software, your violation of this License, or any data you submit to the platform.

10. Term and Termination

This License is effective from the date you first access the Software and continues for the duration of your active subscription. You may terminate at any time by deleting your account. SaloneNest LLC may suspend or terminate immediately if you breach any material term, fail to pay fees, or engage in prohibited activities. Upon termination, all rights granted shall revert to SaloneNest LLC, and your data will be permanently deleted.

11. Export Compliance

The Software may be subject to U.S. and international export control laws. You shall not export, re-export, or transfer the Software to any country, person, or entity subject to applicable sanctions or export restrictions.

12. Governing Law

This License shall be governed by and construed in accordance with the laws of the jurisdiction in which SaloneNest LLC is incorporated. Disputes shall first be addressed through good-faith negotiation, and if unresolved within thirty (30) days, submitted to binding arbitration.

13. Modifications

SaloneNest LLC reserves the right to modify this License at any time. Material changes will be communicated through the Software or via email. Continued use after the effective date of any modification constitutes acceptance of the revised License.
